By accessing and using AI Image Studio (the "Service"), operated by Goopter Holdings Ltd (DBA: Goopter Commerce) ("we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the Service. We reserve the right to update these terms at any time, and continued use of the Service constitutes acceptance of any changes.

2. Description of Service

AI Image Studio is a credit-based AI image processing platform that provides various image manipulation services including, but not limited to, background removal, face retouching, image upscaling, style transfer, video generation, and image generation from text. The Service uses third-party AI models to process your images and generate results.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Credits and Payments

The Service operates on a credit-based system. Credits must be purchased to use AI processing features. Each processing feature requires a specific number of credits as indicated on the platform. Credits are non-transferable between accounts. Purchased credits do not expire unless your account is terminated. All prices are listed in US Dollars (USD) unless otherwise specified. Payment processing is handled by third-party payment providers, and you agree to their respective terms of service.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Upload, process, or generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Use the Service to create deepfakes or manipulated media intended to deceive, defraud, or harm others.
• Upload images that infringe on the intellectual property rights, privacy rights, or other rights of any third party.
• Attempt to reverse engineer, decompile, or disassemble any part of the Service.
• Use automated scripts, bots, or other means to access the Service in a manner that exceeds reasonable use.
• Interfere with or disrupt the Service or servers or networks connected to the Service.

6. Intellectual Property

You retain ownership of the original images you upload to the Service. For AI-generated content and processed images, you are granted a non-exclusive, worldwide license to use the output for personal and commercial purposes, subject to applicable laws. The Service itself, including its design, code, algorithms, and branding, remains the intellectual property of Goopter Holdings Ltd. You may not copy, modify, or distribute any part of the Service without our written consent.

7. Privacy and Data

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described therein. Uploaded images are processed by third-party AI services and may be temporarily stored for processing purposes. We do not sell your personal data or uploaded images to third parties. Processed images are stored in your account and can be deleted at your request.

8. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not guarantee that AI processing results will meet your specific expectations or requirements. The quality of AI-generated output may vary based on input quality, model capabilities, and other factors beyond our control. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Goopter Holdings Ltd and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability for any claims arising from these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use the Service will immediately cease. Any unused credits in a terminated account may be forfeited, except where prohibited by law.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada.
